How Are Unlisted Shares Transferred to Demat?

Understanding the Unlisted-Share Decision

Eligible unlisted securities can be held and transferred in dematerialised form. In an off-market transfer, the selling client instructs the depository participant to transfer securities to the buyer’s demat account. The commercial payment occurs separately under the agreed process.

Reading the Transaction and Ownership Structure

Match buyer DP ID, client ID, ISIN, quantity and consideration details.

Use the delivery instruction or authorised electronic facility supported by the DP.

Confirm the debit and credit statements after settlement.

Where the Expected Exit Can Break

Wrong account or ISIN details can delay or misdirect settlement.

A demat credit does not prove that the investment price was fair.

Transfer restrictions can exist outside the depository workflow.

Making the Investment Decision

Before acting, answer five questions in writing: test account details independently; preserve contract and bank proof; confirm stamp duty treatment; check company-level restrictions; and reconcile both parties’ statements.

Demat improves recordkeeping and transfer mechanics; it does not perform investment due diligence.
